These terms describe the general rules that apply to purchases of products and services from VyPack (Trinity Enterprises AB, 559506-1556). Terms for an individual order may vary according to the quotation or order confirmation, and in case of conflict the individual quotation applies.
1. Scope
VyPack delivers custom packaging solutions according to the specifications in the quotation and reference images for the design the customer has approved. Production takes place with VyPack's approved partners and suppliers, under VyPack's quality control and project management. By confirming an order or paying the corresponding invoice, the customer is considered to have read and accepted the applicable terms.
2. Quantity, dimensions and colour
- Quantity variance: a delivery may vary by up to ±5% from the ordered quantity. Invoicing is based on the quantity actually delivered.
- Dimensions and tolerances: deviations in dimensions or structure may not exceed 1% from the agreed design. Such tolerances are standard in the industry.
- Colour accuracy: the customer is responsible for providing clear colour references, for example HEX or Pantone codes. Colour differences are assessed using Delta E, and deviations within ≤ 2.0 ΔE are considered acceptable in series production.
3. Samples and customer samples
If samples are ordered, part of the sample cost may be credited against the final order according to the current quotation. For bespoke packaging, VyPack may request physical samples of the customer's product to ensure correct fit. Samples are returned only if agreed in advance and at the customer's cost.
4. Intellectual property
The customer is responsible for ensuring that logos, design and other material used in production do not infringe third-party rights, and shall indemnify VyPack for third-party claims relating to intellectual property.
5. Price and payment
- Prices are stated in the quotation or invoice and exclude VAT unless otherwise stated.
- As standard, full payment is required before production starts.
- Custom orders cannot be cancelled or changed after production has started or the sample has been approved.
- In case of late payment, interest of up to 1% per month (12% per year) may be charged in accordance with Swedish law.
- Payment is made by bank transfer as instructed in the invoice or written confirmation.
6. Delivery and lead times
- Standard lead time is 6–8 weeks after confirmed design. Express delivery takes 4–6 weeks and carries an additional cost that varies with current freight and transport prices.
- These time frames are general estimates. The exact lead time depends on project scope and is confirmed between VyPack and the customer.
- Inspections by customs or other authorities are outside VyPack's control and may cause delays.
- VyPack cannot guarantee exact delivery dates and is not liable for delays at sorting terminals, in customs handling or in other external transport stages.
- We recommend placing orders at least 2–3 months before planned use to reduce the risk of operational delays.
- In case of delays, VyPack contacts the carrier to seek compensation but is not liable for compensation unless otherwise agreed.
7. Force majeure, transport and address changes
VyPack is not liable for delays or failed deliveries caused by events outside our control, such as natural disasters, strikes, government measures, pandemics or shortage of raw materials. Transport is made to the stated delivery address, and insurance is included only if the customer requests it and it is confirmed in writing. Address changes must be notified before the shipment leaves the supplier’s facility, and costs arising from late changes are charged to the customer.
8. Storage and handling
- Products made from corrugated board and laminated materials are sensitive to environmental conditions and should be used soon after delivery.
- Store the products in a dry, temperature-controlled environment, protected from radiators, direct heat sources, direct sunlight and high humidity.
- Keep the original packaging or equivalent protective material if the products are not used immediately, to reduce the risk of pressure damage and deformation.
- For structures with thick lamination or stiffer materials we recommend folding and assembling the boxes shortly after delivery if they are to be stored for a longer period.
- VyPack is not liable for deterioration, deformation or damage caused by incorrect storage or environmental exposure after delivery.
9. Complaints and refunds
- Compensation or refund is provided if the delivered quantity is lower than the ordered quantity or if the product deviates from the tolerances in section 2.
- For a lost shipment, an investigation is opened with the carrier. Compensation or replacement follows the carrier's rules, normally within 30 days.
- Damage must be reported within 7 days of receipt, with photographic documentation where needed.
- Our liability is limited to replacement of defective goods or refund of the product value. Indirect damages, such as loss of profit, are not compensated.
10. Dispute resolution and governing law
The parties shall first seek to resolve disputes through dialogue and good-faith negotiation. If the dispute remains, mediation under the ICC rules may be applied. Final disputes are settled by arbitration under the ICC rules in Stockholm, Sweden. Swedish law applies.
11. Other provisions
Formal notices are sent by email with acknowledgement of receipt or by registered post. If any part of these terms is found invalid, this does not affect the validity of the remaining provisions. VyPack may update the terms, and the latest version is always published at www.vypack.se.
